License and Usage

I. Scope

This document sets out the terms governing the licensing, access, and permitted use of digital audio products provided by MILAN INNOVATIONS LLC, a limited liability company registered in Wyoming, United States.

II. Grant of License

Upon successful completion of a transaction, a limited, non-exclusive, non-transferable, and revocable license is granted to the Customer, whether an individual or legal entity, to download and use the purchased digital audio products in accordance with these terms.

This license grants a right of use only and does not constitute a transfer of ownership, title, or any intellectual property rights in respect of the product or any associated materials.

III. Nature of Digital Products

The Products consist of royalty-free digital audio tracks provided as downloadable files.

These audio tracks are intended for use in a variety of applications, including but not limited to personal use, content creation, relaxation environments, and professional audio use.

All Products remain subject to the terms of this license and are not transferable as standalone assets.

IV. Permitted Use

The Customer is granted a royalty-free license to use the audio tracks for both personal and commercial purposes.

Permitted uses include, but are not limited to:

• Use in videos, films, podcasts, and social media content
• Use in applications, websites, or digital projects
• Use in environments such as sleep, relaxation, or ambient audio settings
• Use in professional audio calibration or measurement

Use is permitted without the requirement to pay ongoing royalties, provided that the use complies with these terms.

Restrictions

Except where expressly authorised, the following activities are strictly prohibited:

• Reselling, redistributing, or sharing the original audio files
• Uploading the audio files to public or private file-sharing platforms
• Making the files available as standalone downloadable content
• Claiming the audio files as original work or authorship
• Using the files in a way that competes directly with the original Products (e.g., reselling as audio packs or libraries)

Any use beyond the scope of the granted license requires prior written authorisation from MILAN INNOVATIONS LLC.

V. Intellectual Property Rights

All rights, title, and interest in and to the digital audio products, including all associated intellectual property rights, remain the exclusive property of MILAN INNOVATIONS LLC.

No rights are granted except those expressly set out in this document. All rights not expressly granted are reserved.

VI. License Duration and Termination

The granted license is perpetual, provided that the Customer remains in compliance with these terms.

MILAN INNOVATIONS LLC reserves the right to terminate the license in the event of a breach of these terms.

Termination of the license does not limit any rights or remedies available under applicable law.

VII. Enforcement and Remedies

Unauthorised use, distribution, or reproduction of digital products may result in enforcement actions, including legal proceedings, to the extent permitted by applicable law.

Remedies may include, without limitation, injunctive relief, damages, and recovery of costs associated with enforcement.

VIII. Limitation of Rights

Nothing in this document shall be interpreted as granting any rights beyond those expressly provided.

Access to digital products does not confer any ownership interest or entitlement beyond the defined scope of use.

IX. Support and Authorisation Requests

If clarification regarding permitted use is required, or where extended usage rights are sought, the Customer may contact the Seller using the available communication channels.

Requests for additional rights or alternative licensing arrangements will be reviewed on a case-by-case basis.
